This Agreement is a legal agreement between you (and/or the organization you represent) and WPS Office regarding the registration, subscription, renewal, addition, and use of the Service. If you register, subscribe, renew, add or use the Service on behalf of an organization, you must confirm that you have been authorized by the organization that recognizes your conduct as itself, i.e. you represent and warrant that you have the authority to bind that organization to the terms of this Agreement. When using the Service, you and the organization you represent must also comply with the Service`s policies, other agreements (if any) between WPS Office and you and/or the organization you represent to authorize you and the organization you represent to use the Service, or any terms of a license document (if any), issued by WPS Office and confirms that you and/or the organization you represent have the right to use the Service as set forth in the WPS Office Portal and the WPS Office Online Service User Agreement (www.wps.com/legal/OnlineServiceUserAgreement) (collectively, the «Service Policies»). By registering or subscribing to the Service on the Portal, or registering to use the Service, you and the organization you represent agree to be bound by the terms of this Agreement. If you and/or the organization you represent do not agree to the terms of this Agreement, in whole or in part, please do not register or subscribe to the Service on the Portal, or log in or use the Service. In the event that you and/or the organization you represent violate any provision of this Agreement, WPS Office has the right to terminate the provision of the Service to you and/or the organization you represent, in whole or in part, and to bring legal action against you and/or the organization you represent.

Normally, the service is a paid service. If you and/or the organization you represent need to use the Service, you must pay WPS Office or WPS Office authorized distributors, agents and partners («Distributors») for the Service. However, WPS Office does not guarantee that the Service will remain available for subscription at all times, and WPS Office reserves the right to decline subscription requests and close the subscription channel. WPS Office may, from time to time, offer a free version of WPS Docs for Enterprise as the Enterprise Basic Edition or otherwise (the «Free Service»). You may only use the Free Service if you and/or the organization you represent comply with the Free Service Terms of Use and applicable policies (as set forth in the Portal) and are subject to this Agreement and the Service Policies of the Service. For the free service, WPS Office may offer limited or no customer support. WPS Office may change the Free Service Policies or discontinue the provision of the Free Service without notice. The Software (if any) and services contained in the Service are protected by applicable copyright laws, international copyright treaties, conventions and other applicable laws and regulations. You must use the Software (if any) and Services included in the Service in accordance with the actual licenses purchased by you and/or the organization you represent and under this Agreement.

Neither you nor the organization you represent may sell, sublease, or sublicense the Software (if any) and any or all of the services included in the Service, unless authorized in writing by WPS Office. You understand and acknowledge that all or any part of the Services and Software (including, but not limited to, data recovery tools, as described below) included in the Service may originate from other third parties and that such content may be cancelled upon termination of the cooperation agreement between WPS Office and the relevant third party. You are clearly aware of the above uncertainties. Once the Services and Software are terminated as a result of such termination, neither you nor any other user may use the Services and Software. Except for the request to terminate the service and the prorated refund of the service fee paid, you and/or the organization you represent (if any) may not seek further recourse from the WPS Office in this matter. WPS Office actively takes reasonable technical and administrative measures to protect Customer Data against accidental loss or alteration, unauthorized disclosure or access, or unlawful destruction. WPS Office strongly recommends using the Service if you are constantly connected to the Internet and logged into your account, otherwise some features and services of the Service may not function normally.

WPS consultants are happy to discuss with you how to eliminate complexity and improve the user experience. They allow you to gain usage insights, optimize occupancy rates, or activate new apps to maximize usage. The Software may contain third-party software components. Unless otherwise specified in the software, WPS Office (instead of a third party) licenses these components to users in accordance with its license terms and statements. However, you must also comply with the relevant licensing policies that accompany these third-party software components. We may modify the Service or terminate this Agreement at any time if this Agreement or the Service may conflict with such rules or requirements in accordance with the development situation and government regulations or requirements, and we will not be liable for anything other than the refund of the Service Fee equal to the remaining term of the Service upon termination of this Agreement. Expression. This Agreement is valid for the same period as the User`s use of the Service. The Service may require the use of certain software, such as a web browser, which you must configure to function properly, and you and/or the organization you represent are required to comply with the terms of use of such software.
